Vice President, Associate General Counsel and Os Chief C The candidate will be responsible for serving as the divisional general counsel and key business partner for Oncology Systems, firm’s largest and most complex business unit with sales, operations, R&D and manufacturing at locations worldwide and whose products are regulated as Class 2 medical devices by the US FDA. Acting as a trusted advisor to the new president of Oncology Systems, Chris Toth, and his leadership team. This role will sit on Chris’ leadership team. In conjunction with the lead lawyer for M&A, supporting (and sometimes leading) and integrating domestic and cross-border transactions for OS. Head of Oncology Systems Legal Team: As the head of the team of lawyers and non-attorney professionals supporting Oncology Systems, ensuring efficient and proactive of legal services to the business, formulating legal strategy for the team and providing tactical guidance to members of his/her team. Taking the OS legal operations to the next level of functioning and strategic partnering, while working closely with his/her legal colleagues to learn from their expertise and to ensure a consistent company-wide approach to issues. Working with regional legal directors in the department’s matrixed structure to coordinate legal support with across all geographies. Liasing with the regional legal directors, chief counsels and function heads (eg. Global Trade and Ethical Compliance) to ensure proper information flow relevant to those groups and elicit from other groups relevant information pertaining to and impacting the OS business. Coaching and developing members of his/her team of attorneys and non-attorney professionals. Managing a significant budget, including outside counsel budget. Managing outside counsel. Governance and Board: Advising and guiding the committee on corporate governance matters as it relates to the committee and its functioning. In coordination with the Chief Counsel, Corporate/Securities, working closely with the Chair and members of the committee on the business of the committee, managing the committee meetings, including planning and organizing the meetings, (i.e., meeting dates, agenda proposal, documents, minutes, monitoring of “follow-ups”, document retention), minuting the proceedings of the meetings and appropriate follow up; Serving as the secretary for at least one committee of the company’s Board of Directors.

Qualification and Experience

The candidate must have 15-20+ years of demonstrated successful business partnering, a strong commercial/business counseling track record, depth of corporate governance and SEC experience. Should have experience working in-house as a the lead or second-in-command lawyer for a division or business unit of a larger company or as a general counsel of a smaller company, have managed a small team of lawyers, and served an Assistant Secretary or Corporate Secretary or otherwise worked with the Board within a listed company as well as earlier experience practicing securities/M&A law within a recognized law firm.
